These Terms and Conditions ("Terms") are a legal agreement between Estimado AI LLC, a Florida limited liability company with its principal place of business at 4440 PGA Blvd, Ste 600 #9012, Palm Beach Gardens, FL 33410 ("Estimado AI," "we," "us," or "our"), and you, whether personally or on behalf of an entity ("you" or "User"). These Terms govern your access to and use of the website located at estimado.com (the "Site") and the Estimado AI platform, applications, APIs, and related services (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICE.

THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS-ACTION WAIVER IN SECTION 17. PLEASE READ CAREFULLY.

1. The Service

Estimado AI provides AI-assisted construction estimating software for construction professionals. The Service allows you to upload construction documents (including blueprints, photographs, video, and voice input), generate AI-produced estimates that include bills of materials, quantities, and pricing references, and use related features. The Service is provided for use by licensed and qualified construction professionals.

The Service is a decision-support tool, not a replacement for professional judgment. All output produced by the Service is informational. You are the licensed and qualified professional responsible for verifying all output before relying on it. See Section 9 for important disclaimers.

2. Eligibility

To use the Service, you must:

• Be at least 18 years old and able to form a binding contract;
• Be located in the United States;
• Use the Service only in connection with a legitimate construction business or licensed construction-related activity; and
• Provide accurate registration information and keep it current.

The Service is not intended for consumers acting in a personal capacity. If you are using the Service on behalf of an entity, you represent that you are authorized to bind that entity, and "you" refers to both you individually and that entity.

3. Accounts

To access most features, you must register for an account. You are responsible for: (a) maintaining the confidentiality of your credentials; (b) all activity that occurs under your account; and (c) notifying us promptly at hello@estimado.com of any unauthorized use. We may suspend or terminate accounts that we reasonably believe to be in violation of these Terms.

4. Subscriptions, Fees, and Billing

Access to some features of the Service requires a paid subscription or one-time fee. Pricing, plan tiers, and applicable taxes will be displayed at the point of purchase or in your account settings.

• Billing. You authorize us (or our third-party payment processor) to charge the payment method on file for all applicable fees. Subscription fees are billed in advance on a recurring basis until you cancel.
• Auto-renewal. Subscriptions automatically renew at the then-current rate unless cancelled before the renewal date.
• Refunds. Except where required by law, fees are non-refundable. We may, in our discretion, offer prorated refunds or credits.
• Changes to fees. We may change fees on at least thirty (30) days' notice, effective at the next renewal.
• Trial offers. The length and terms of any trial will be stated when you activate it. Unless a specific offer states otherwise, current launch offers include a seven-day trial. Billing is handled through a separate signup or checkout process under the terms shown at that time. Access may be suspended or revoked when a trial ends.
• Taxes. Fees are exclusive of sales, use, and similar taxes, for which you are responsible.

4.1 SMS Messaging Terms

Program: Estimado AI LLC sends appointment confirmation, reminder, and scheduling-update text messages to customers who provide a mobile number and consent when booking on estimado.com.

Opt-in: Consent is given by checking the SMS box on our booking form. The box is unchecked by default. Consent is not a condition of purchase.

Message frequency: Varies — typically 2–3 messages per appointment booked.

Cost: Message and data rates may apply. Estimado AI LLC does not charge for these messages; your carrier's standard rates apply.

Opt out: Reply STOP to any message to cancel. You will receive one final confirmation message and nothing further.

Help: Reply HELP to any message, or contact hello@estimado.com / (321) 328-0102.

Carrier liability: Wireless carriers are not liable for delayed or undelivered messages. Delivery is subject to effective transmission by your carrier and is not guaranteed.

Supported carriers: AT&T, Verizon Wireless, T-Mobile, US Cellular, Boost, MetroPCS, Cricket, and other major U.S. carriers.

Eligibility: You must be at least 18 and the account holder or authorized user of the number provided.

Privacy: Mobile numbers and SMS consent data are never shared or sold. See our Privacy Policy.

5. User Content

"User Content" means any data, files, documents, blueprints, drawings, photographs, video, audio, voice recordings, project information, customer information, text, and other materials you submit to or through the Service.

5.1 Your responsibility for User Content

You are solely responsible for User Content. You represent and warrant that:

• You own the User Content or have all necessary rights, licenses, consents, and permissions to upload it and have it processed by the Service, including from architects, engineers, designers, property owners, and any individuals depicted;
• User Content does not infringe, misappropriate, or violate any third party's intellectual property, privacy, publicity, contractual, or other rights;
• User Content does not contain unlawful, defamatory, obscene, or harmful material; and
• User Content does not contain malware, exploits, or other code intended to disrupt the Service.

You acknowledge that blueprints and design documents are often protected by copyright held by architects or engineers. You are responsible for confirming that you have the right to upload these materials for AI processing.

5.2 Your ownership; license to us

Your content is yours. You retain all rights to the photographs, recordings, descriptions, documents, prices, customer information, and other materials you upload, and to the estimates you generate and send. We claim no ownership of your project content, your prices, or your customer relationships.

You grant Estimado AI a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, process, analyze, display, and create derivative works of User Content solely to: (a) provide and operate the Service for you; (b) maintain backups and ensure system security; and (c) comply with legal obligations.

This license terminates when you delete the User Content from your account or terminate your account, except for data we are legally required to retain and data retained temporarily in routine backups. If we introduce a program that uses corrections or other information derived from your use of the Service to improve the estimating engine across accounts, we will update these Terms and our Privacy Notice before using that information and will describe the applicable aggregation, de-identification, retention, and opt-out controls.

5.3 Customer and third-party information

If User Content contains personal information about your customers or other third parties (such as customer addresses, photographs of properties, or personal data), you represent that you have the legal basis to share that information with us and that we are permitted to process it for the purposes described in our Privacy Notice.

6. Use of AI; Third-Party AI Providers

The Service uses artificial intelligence, including large language models, computer vision models, and related machine learning systems, provided by Estimado AI and by third-party providers (including, without limitation, Anthropic, OpenAI, Google, and DeepSeek). By using the Service, you acknowledge and agree that:

• User Content you submit may be transmitted to and processed by these third-party providers in accordance with their respective terms;
• AI-generated output is probabilistic and may be incomplete, inaccurate, biased, or otherwise unsuitable for your specific use without verification;
• The list of third-party AI providers may change over time, and we will reflect material changes in our Privacy Notice.

7. Acceptable Use

You agree not to, and not to permit any third party to:

• Use the Service to violate any applicable law or regulation, including building codes, licensing requirements, export controls, or consumer protection laws;
• Misrepresent the Service's output as anything other than AI-generated estimating information;
• Reverse engineer, decompile, disassemble, or attempt to derive source code, model weights, prompts, or training data from the Service, except to the extent applicable law expressly permits this restriction to be overridden;
• Scrape, harvest, or systematically collect data from the Service except as expressly permitted by us in writing;
• Use the Service to develop a competing product, train a competing AI model, or create a substitute service;
• Resell, sublicense, or make the Service available to third parties outside the scope of your account, except that you may share Service-generated estimates with your own customers in the ordinary course of your business;
• Upload User Content that infringes intellectual property rights or that you do not have the right to upload;
• Attempt to circumvent rate limits, security controls, or access restrictions; or
• Submit User Content for the purpose of generating output that is fraudulent, materially misleading to third parties, or used to deceive a regulator, insurer, lender, or customer.

We may investigate suspected violations and, where appropriate, suspend or terminate your access without prior notice.

8. Material Pricing and Product Information

The Service may display material pricing, product images, SKU references, and product information drawn from third-party retailers (including, without limitation, The Home Depot and Lowe's), manufacturers, distributors, and data aggregators. You acknowledge and agree that:

• Prices, availability, and product specifications are provided for informational purposes and may not reflect current retailer pricing at the time of purchase;
• Product recommendations are made on an "or equivalent" basis — they are reasonable defaults the contractor may swap, not binding selections;
• Estimado AI is not a retailer, manufacturer, or distributor of construction materials;
• Estimado AI does not warrant the accuracy, completeness, or current availability of any third-party product or pricing information; and
• You are responsible for confirming current pricing, availability, specifications, and suitability with the actual supplier before purchasing.

Where the Service contains affiliate or referral links to retailers, Estimado AI may earn a commission on resulting purchases. This does not affect the price you or your customer pays.

Material prices are references, not quotes. Prices shown may be outdated, regionally inaccurate, or unavailable. They do not reflect your supplier pricing, contractor discounts, taxes, delivery charges, or availability. Verify every price with your supplier before relying on it.

Items shown without a price. Estimado may list materials even when a price is unavailable or only an approximate fallback is available. Any total shown may exclude unpriced items and may therefore be lower than your actual material cost. You are responsible for identifying and pricing unpriced or approximate items before sending an estimate to a customer.

9. Important Disclaimers Regarding Estimates and Other Output

ESTIMADO PRODUCES DRAFTS, NOT FINAL ESTIMATES. Estimado is an estimating assistant. It generates draft bills of materials and related output to save you time. It is not a substitute for your professional judgment, site inspection, measurements, supplier verification, or review.

YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, CORRECTING, AND APPROVING EVERY ESTIMATE BEFORE YOU SEND IT TO YOUR CUSTOMER, AND FOR THE ACCURACY OF EVERY ESTIMATE, BID, QUOTE, OR CONTRACT YOU PROVIDE. ONCE YOU SEND AN ESTIMATE, IT IS YOUR ESTIMATE, NOT OURS.

The Service's output — including estimates, bills of materials, quantities, measurements, pricing, code references, scope inferences, and hazard flags — is AI-generated information provided for the professional judgment of a licensed and qualified construction professional. We do not warrant that output is complete, accurate, or suitable for any particular job. Quantities may be wrong, required items may be missing, and items your job does not require may be included.

Specifically:

• Not a guarantee of cost. Estimates are projections, not quotes, bids, or guarantees. Actual costs will vary.
• Not a guarantee of quantity or measurement accuracy. You must verify all takeoff quantities and measurements before relying on them for ordering, bidding, or installation.
• Unpriced and approximate items. A displayed total may be partial when one or more items are unpriced or use approximate fallback pricing. You must price and verify those items before relying on the total.
• Not a code-compliance determination. References to building codes, permits, jurisdictional requirements, hazardous materials (including but not limited to lead, asbestos, mold, and electrical hazards), or other regulatory matters are general guidance only. Code compliance is determined by the authority having jurisdiction. You — not Estimado AI — are responsible for verifying applicable codes, obtaining permits, and complying with all legal requirements.
• Not a hazardous materials assessment. Any flag the Service raises regarding lead, asbestos, mold, or other hazardous materials is a prompt for further investigation, not a substitute for testing by a qualified professional.
• Not engineering, architectural, legal, or financial advice. The Service does not provide architectural design, structural engineering, mechanical engineering, legal, or financial services. You are responsible for engaging the appropriate licensed professionals.
• Verification is required. You agree to review, verify, and exercise your professional judgment on all Service output before relying on it, bidding from it, ordering materials from it, or sharing it with customers, lenders, insurers, regulators, or other third parties.

You acknowledge that AI systems can produce errors, omissions, and confabulations ("hallucinations"). You assume all risk associated with your reliance on Service output.

Learned defaults. If the Service uses your past edits to suggest defaults or to include or exclude items automatically, you remain responsible for reviewing every estimate for completeness, including items omitted by a learned default. You may override a learned default on an individual estimate. We do not guarantee that any item required for your job, including a code-required or safety-related item, is present.

10. Intellectual Property

10.1 Our intellectual property

The Service, including software, code, models, model weights, prompts, knowledge bases, documentation, designs, logos, and the "Estimado AI" name and trademarks, is owned by Estimado AI or its licensors and is protected by United States and international intellectual property law. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

10.2 Estimates and output

As between you and Estimado AI, you own the estimates and other output generated specifically for your account based on your User Content, subject to the rights of third parties (including authors of source blueprints) and subject to our rights in the underlying Service, models, and knowledge bases used to generate that output. You may use Service-generated estimates for your business purposes, including providing them to your customers in the ordinary course of your work.

10.3 Feedback

If you provide suggestions, ideas, or other feedback to us, you grant Estimado AI a perpetual, irrevocable, royalty-free, worldwide license to use that feedback for any purpose without obligation to you.

11. Privacy

Our collection and use of personal information is described in our Privacy Notice. By using the Service, you consent to that collection and use.

12. Third-Party Services and Links

The Service may contain links to or interoperate with third-party websites, services, or content. We do not control and are not responsible for third parties, and your use of them is at your own risk and subject to the third parties' terms.

13. Confidentiality

If you receive confidential information from us in connection with the Service (such as pricing, product roadmap information, beta features, or non-public technical information), you will treat it as confidential, use it only for the purposes contemplated by these Terms, and protect it with the same degree of care you use to protect your own confidential information of similar sensitivity, and in any event no less than reasonable care.

14. Beta Features

We may make features available on a beta, alpha, preview, or experimental basis ("Beta Features"). Beta Features are provided "as is" without any warranty, may be discontinued at any time, and may behave unpredictably. Your use of Beta Features is at your own risk.

15. Disclaimers

EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. ESTIMADO AI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

WITHOUT LIMITING THE FOREGOING, ESTIMADO AI DOES NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
• AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, CURRENT, OR SUITABLE FOR ANY PARTICULAR PURPOSE;
• ESTIMATES OR PRICING WILL MATCH ACTUAL COSTS;
• THE SERVICE OR ITS OUTPUT WILL COMPLY WITH ANY APPLICABLE BUILDING CODE OR REGULATION;
• ANY THIRD-PARTY DATA, INCLUDING RETAILER PRICING AND PRODUCT INFORMATION, WILL BE ACCURATE OR CURRENT.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; THE ABOVE EXCLUSIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ESTIMADO AI OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
• LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST GOODWILL, OR LOSS OF DATA;
• COSTS OF SUBSTITUTE SERVICES; OR
• DAMAGES ARISING FROM YOUR RELIANCE ON AI-GENERATED OUTPUT, ESTIMATE INACCURACIES, PRICING INACCURACIES, MISSED SCOPE ITEMS, OR YOUR USE OF THE SERVICE IN PREPARING BIDS, CONTRACTS, OR CUSTOMER COMMUNICATIONS,

WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT ESTIMADO AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ESTIMADO AI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

THESE LIMITATIONS ARE FUNDAMENTAL ELEMENTS OF THE BARGAIN BETWEEN YOU AND ESTIMADO AI. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE JURISDICTIONS THE ABOVE APPLIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.

17. Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ CAREFULLY. THIS SECTION AFFECTS YOUR LEGAL RIGHTS.

17.1 Informal resolution

Before filing a claim, you agree to attempt to resolve the dispute informally by contacting us at hello@estimado.com and providing a written description of the dispute. The parties will negotiate in good faith for at least sixty (60) days before any formal action.

17.2 Binding arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be conducted in Palm Beach County, Florida, in English, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this clause.

17.3 Class action waiver

YOU AND ESTIMADO AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

17.4 Exceptions

Either party may bring an individual claim in small-claims court if eligible, and either party may seek injunctive or equitable relief in court to protect its intellectual property or confidential information.

17.5 Opt-out

You may opt out of this arbitration agreement by sending written notice to hello@estimado.com within thirty (30) days of first accepting these Terms. The notice must include your name, address, and a clear statement that you wish to opt out of arbitration.

18. Indemnification

You will defend, indemnify, and hold harmless Estimado AI and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your User Content; (b) your use of or reliance on Service output, including any estimate, bid, or representation you make to a third party based on the Service; (c) your violation of these Terms or applicable law; (d) your violation of any third-party right, including intellectual property or privacy rights; and (e) any dispute between you and a customer, supplier, employee, regulator, or other third party.

19. Term and Termination

These Terms remain in effect while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access at any time, with or without cause, including for violation of these Terms or non-payment. Upon termination: (a) your right to use the Service ends; (b) provisions intended to survive termination (including Sections 5.2, 9, 10, 13, 15, 16, 17, 18, and 21) will survive; and (c) you may request export of your User Content for a commercially reasonable period after termination, after which it may be deleted.

Deletion. You may request deletion of your account at any time. We handle deletion and retention as described in our Privacy Notice.

20. Modifications to the Service or Terms

We may modify or discontinue the Service, in whole or in part, at any time. We may amend these Terms by posting an updated version on the Site or notifying you by email. Material changes will take effect no sooner than the date posted. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

21. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Subject to Section 17, the state and federal courts located in Palm Beach County, Florida have exclusive jurisdiction over any dispute that is not subject to arbitration, and you consent to personal jurisdiction in those courts.

22. Miscellaneous

• Entire agreement. These Terms, together with the Privacy Notice and any subscription or order documents, are the entire agreement between you and Estimado AI on the subject matter and supersede all prior agreements.
• Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
• No waiver. Our failure to enforce a provision is not a waiver of that provision.
• Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of substantially all of our assets.
• No agency. No agency, partnership, joint venture, or employment is created by these Terms.
• Notices. We may send notices to the email address on file for your account. You may send notices to us at hello@estimado.com or 4440 PGA Blvd, Ste 600 #9012, Palm Beach Gardens, FL 33410.
• Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
• Export controls. You agree to comply with all applicable export and sanctions laws.
• U.S. Government users. The Service is "commercial computer software" under applicable acquisition regulations.
